Terms & Conditions

1. Definitions

  • "We / Us / Our / Company" means Wichai Systems Co., Ltd., registered in Thailand, located at 56 Mittraphap Road, Mueang, Nakhon Ratchasima 30000.
  • "User / You / Client" means any person or business accessing our website or engaging our services.
  • "Services" means the AI integration services described on our website, including Anchor Review, Fixed Integration, and Hold-Fast Service.
  • "Agreement" means these Terms together with any written service agreement or statement of work signed between you and the Company.
  • "Deliverable" means any report, code, documentation, or integration handed over to you as part of a service engagement.

2. Acceptance of Terms

By accessing our website or engaging our services, you confirm that you have read and agree to these Terms. You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are accessing on behalf of a company, you confirm that you have authority to bind that company to these Terms.

Use of the website does not by itself constitute a service engagement. A separate written agreement is required before any service work begins.

3. Service Description

Wichai Systems provides the following professional services to businesses in Thailand and, where agreed, internationally:

  • Anchor Review: A technical assessment identifying viable AI integration points within your systems, delivered as a written report with options and estimates.
  • Fixed Integration: Engineering and delivery of a single AI-to-tool integration connection, including testing and documented handover.
  • Hold-Fast Service: Ongoing maintenance and monitoring of existing integrations, including quarterly reviews and a named engineer.

Service availability is subject to engineering capacity. We will communicate availability at enquiry stage.

4. User Responsibilities

  • You agree to provide accurate information when contacting us or engaging our services.
  • You agree to provide timely access to systems, tools, and documentation required for service delivery.
  • You are responsible for maintaining the security of any credentials shared with us for integration purposes.
  • You agree not to use our website or services for any unlawful purpose or in any way that infringes the rights of others.
  • You agree not to attempt to gain unauthorised access to any part of our website or systems.

5. Intellectual Property

All content on this website, including text, design, and logos, is the property of Wichai Systems and protected by applicable intellectual property law. You may not reproduce, distribute, or modify website content without our prior written consent.

For service deliverables: upon full payment, you receive ownership of the integration code and documentation produced for your specific engagement. We retain the right to use general engineering knowledge, methods, and non-client-specific components developed during the engagement in future work.

We retain all rights to our internal tools, frameworks, and methodologies.

6. Payment Terms

  • All prices are quoted and invoiced in Thai Baht (฿).
  • Payment terms are specified in the written service agreement for each engagement.
  • Typical payment schedule: 50% on agreement signing, 50% on delivery/handover.
  • Hold-Fast Service is billed monthly in advance.
  • Accepted payment methods: bank transfer to a Thai bank account. Details provided on invoice.
  • Refund policy: Anchor Review fees are non-refundable after the written report has been delivered. Fixed Integration milestones are non-refundable after each milestone is completed and accepted. Hold-Fast monthly fees are non-refundable for the current billing month.

7. Service Delivery Terms

  • The scope of each service engagement is defined in a written statement of work signed before work begins.
  • Changes to the agreed scope during delivery will be discussed and, if agreed, documented as a separate change request with revised pricing.
  • Timelines are estimates based on standard conditions. Delays caused by client-side factors (access, approvals, feedback) may extend delivery.
  • We will communicate proactively if timelines are at risk.
  • Handover is considered complete when the client has received and acknowledged the deliverables and documentation.

8. Confidentiality

Both parties agree to treat non-public information shared during a service engagement as confidential. We will not disclose your business information, systems details, or data to third parties except as required by law or with your written consent.

A data processing agreement signed before each engagement provides additional detail on data handling specific to that project.

9. Disclaimers

  • Our services are provided on a professional-effort basis. We do not warrant specific business outcomes from the use of AI integrations.
  • AI services and third-party APIs are operated by their respective providers. We are not responsible for changes, outages, or policy changes by those providers.
  • Website content is provided for informational purposes and may not reflect the most current service details. Always confirm scope and pricing in writing before engaging.

10. Limitation of Liability

To the fullest extent permitted by Thai law, our total liability to you in connection with any service engagement shall not exceed the total fees paid by you to us for that specific engagement.

We are not liable for indirect, consequential, or incidental losses arising from the use or inability to use our services, including losses arising from downstream API or AI service failures.

11. Termination

  • Either party may terminate a service engagement by providing 30 days' written notice, subject to the terms of the relevant service agreement.
  • On termination, all access to client systems is removed and any unpaid fees for work completed to that point become due.
  • Hold-Fast Service may be cancelled at month end with 30 days' notice. Fees for the current billing period are not refunded.
  • We may terminate access to our website for users who breach these Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Thailand. Any disputes arising from these Terms or a service engagement will first be subject to good-faith negotiation between the parties.

If negotiation does not resolve the dispute within 30 days, the matter will be referred to the courts of Nakhon Ratchasima Province, Thailand, which have exclusive jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. The revised Terms will be posted on this page with an updated "Last Updated" date. For active service engagements, material changes will be communicated by email. Continued use of our website or services after the effective date of changes constitutes acceptance.
